1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the CarMate progressive web application (the "App"), operated by Showmateuk Ltd under the brand name CarMate ("we", "our", "us") a company registered in England and Wales under company number 15355864, with its registered office at 1037 Stockport Road, Manchester, M19 2TB

By accessing or using the App, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the App.

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance of the revised Terms. We will notify you of material changes via the App or email.

2. About CarMate

CarMate is an AI-powered car discovery platform that uses a swipe-based interface to help users explore and discover vehicles that match their preferences, lifestyle, and budget. The App is designed primarily for users in the United Kingdom who are researching or exploring vehicle options.

CarMate is a discovery and research tool only. We do not sell, lease, finance, or facilitate the purchase of vehicles. We do not act as a car dealer, broker, or financial intermediary. Any vehicle transaction you enter into is between you and the relevant third-party dealer or seller, and CarMate bears no responsibility for such transactions.

3. Eligibility

To use CarMate, you must:

• Be at least 16 years of age (or the age of digital consent in your jurisdiction)
• Have the legal capacity to enter into a binding agreement
• Provide accurate and complete information when creating an account

If you are under 18, you should review these Terms with a parent or guardian before using the App.

4. Account Registration

To access certain features of the App, you may need to create an account. When you do so, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information to keep it accurate
• Keep your login credentials confidential and not share them with any third party
• Accept responsibility for all activity that occurs under your account

You must notify us immediately at carmateuk.info@gmail.com if you become aware of any unauthorised access to or use of your account.

We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms or if your account is being used fraudulently.

5. The CarMate Service

5.1 How the App Works

CarMate presents vehicle listings in a card-based, swipeable format. You can swipe right to indicate interest, swipe left to pass, and swipe up for favourites. The App uses an AI algorithm that learns from your interactions (swipes, questionnaire responses, saved vehicles) to generate personalised vehicle recommendations and match scores.

5.2 Vehicle Information

Vehicle listings displayed in the App are sourced from third-party data providers and may include information such as make, model, year, mileage, price, location, fuel type, and other specifications. While we endeavour to present accurate and up-to-date information:

• We do not guarantee the accuracy, completeness, or currency of any vehicle listing data
• Vehicle prices, availability, specifications, and condition may change without notice
• Images shown may be stock or representative photos and may not reflect the exact vehicle
• Listings may be removed or updated by third-party data providers at any time

You should always verify vehicle information directly with the seller or dealer before making any purchasing decision also we encourage you to go for detailed hpi checks, mot information to verify before purchase.

5.3 AI Match Scores and Recommendations

The match scores and recommendations provided by CarMate's AI are generated algorithmically based on your stated and observed preferences. They are intended as a helpful discovery tool only and:

• Do not constitute advice, endorsement, or recommendation to purchase any specific vehicle
• Do not represent a guarantee of vehicle quality, condition, safety, or suitability
• Should not be relied upon as the sole basis for any purchasing decision
• May not account for all factors relevant to your individual circumstances

5.4 Wishlist

The Wishlist feature allows you to save vehicles for future reference. Saving a vehicle does not reserve it, hold it, or create any right to purchase it. Vehicle availability and pricing are subject to change at any time.

6. Third-Party Links and Services

The App may contain links to third-party websites, services, or content, including but not limited to:

• Vehicle dealer websites and listings
• Insurance comparison services
• Vehicle history check providers
• Financing and loan comparison tools

These third-party services are not operated or controlled by CarMate. We are not responsible for the content, privacy practices, accuracy, or availability of any third-party service. Your use of third-party services is subject to their own terms and conditions and privacy policies.

Any referral or link to a third-party service does not constitute an endorsement, sponsorship, or recommendation by CarMate. We strongly encourage you to read the terms and privacy policies of any third-party service before providing your personal information or entering into any transaction.

7. Intellectual Property

7.1 Our Intellectual Property

All intellectual property rights in the App, whether registered or unregistered, including but not limited to the software, source code, design, layout, graphics, logos, icons, text, the CarMate name, brand identity, taglines, the AI matching algorithm, the user interface and interaction design, data compilations, and all other content and materials (collectively, the "CarMate IP") are owned by or licensed to CarMate and are protected by applicable copyright, trademark, trade secret, database rights, and other intellectual property laws of the United Kingdom and international treaties.

The CarMate name, logo, and associated branding are the proprietary property of CarMate. Any use of these marks without our prior written consent is strictly prohibited, regardless of whether formal trademark registration has been obtained. We reserve all rights to seek trademark registration and to enforce our common law and unregistered rights in our brand, name, and associated marks.

7.2 Your Licence to Use the App

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the App for your personal, non-commercial use in accordance with these Terms. This licence does not include the right to:

• Copy, modify, distribute, sell, lease, or sublicence any part of the App or CarMate IP
• Reverse engineer, decompile, or disassemble the App or its underlying technology
• Use the App or any of its features, design patterns, or concepts to build a competing product or service
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Use any automated means (bots, scrapers, crawlers) to access, extract, or interact with the App or its data
• Reproduce, replicate, or imitate the swipe-based car discovery interface, AI matching methodology, or user experience design of CarMate in any other product or service

7.3 Your Content

If you submit any content to the App (such as feedback, suggestions, or reviews), you grant CarMate a worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, and distribute that content for the purpose of operating and improving the App.

7.4 Reporting Infringement

If you believe that any content on the App infringes your intellectual property rights, please contact us at carmateuk.info@gmail.com with details of the alleged infringement.

8. Acceptable Use

When using CarMate, you agree not to:

• Use the App for any unlawful purpose or in violation of any applicable law or regulation
• Provide false, misleading, or inaccurate information
• Attempt to gain unauthorised access to the App, its servers, or any connected systems
• Interfere with or disrupt the App's functionality, security, or performance
• Use the App to transmit malware, viruses, or other harmful code
• Scrape, harvest, or collect data from the App using automated tools without our prior written consent
• Use the App to harass, abuse, defame, or intimidate other users or third parties
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the App in any manner that could damage, disable, or impair the App or its infrastructure

9. Disclaimers and Limitation of Liability

9.1 Service Provided "As Is"

The App is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that:

• The App will be uninterrupted, error-free, secure, or available at all times
• The results or recommendations generated by the AI will be accurate, reliable, or suitable for your needs
• Any vehicle information displayed in the App is accurate, complete, or current
• Any defects or errors will be corrected

9.2 Limitation of Liability

To the fullest extent permitted by applicable law:

• CarMate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of opportunity, or loss arising from any vehicle purchase or transaction
• CarMate shall not be liable for any loss or damage arising from your reliance on AI-generated match scores, recommendations, or vehicle information displayed in the App
• CarMate shall not be liable for the acts, omissions, products, or services of any third-party dealer, seller, or service provider linked to or accessible through the App
• Our total aggregate liability to you for any claims arising from or related to your use of the App shall not exceed the greater of (a) the amount you have paid to CarMate in the 12 months preceding the claim, or (b) £100

10. Indemnification

You agree to indemnify, defend, and hold harmless CarMate, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the App
• Your violation of these Terms
• Your violation of any third party's rights
• Any vehicle transaction you enter into with a third-party dealer or seller

11. Termination

You may stop using the App and delete your account at any time through the account settings within the App.

We may suspend or terminate your access to the App at any time, with or without notice, for any reason, including but not limited to a breach of these Terms. Upon termination:

• Your licence to use the App is immediately revoked
• We may delete your account data, including your preference profile, swipe history, matches and wishlist, subject to our data retention obligations under the Privacy Policy
• Sections of these Terms that by their nature should survive termination (including Sections 7, 9, 10, 12, and 13) will continue to apply

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, nothing in these Terms affects your statutory rights under applicable consumer protection legislation, including the Consumer Rights Act 2015.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and CarMate regarding your use of the App and supersede any prior agreements.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

13.5 Notices

Any notices to you may be provided via email to the address associated with your account or through in-App notifications.
